Bylaw A -- User Agreement

Bylaw B -- ImmInst Membership Dues Structure

1. General provisions

  • Donations marked 'membership' are considered membership applications.
  • Membership Donations are non-refundable under any circumstances.
  • Management may refuse any Membership application, giving reasons. This decision can be appealed as per ImmInst constitution.

2. Voting Membership

  • Membership donations up to and exceeding $50 USD in a single transaction will grant the donating private individual Membership until the following November 1st.
  • A reduced amount of $20 USD or more applies to individuals who are in financial circumstances meriting special consideration, such as pensioner, student or unemployed.
  • Membership donations up to and exceeding $500 USD in a single transaction will grant the donating private individual Membership for life.

3. Non-voting membership

Membership donations of $5 USD will grant the donating private individual a non-voting Membership for a month since receipt of the domation. Non-voting members may not participate in referenda.

4. Honorary Membership

Individuals may be offered honorary voting or non-voting membership at the discretion of the Executive. Usually, such members are nominated on account of their contribution to the ImmInst mission or due to an inability to finance any membership donations.

Bylaw C -- ImmInst Leadership Positions

Section 1 – All Leadership

1.1 Personal Details

All Leaders must supply a copy of an acceptable identification document and contact details to be stored in Director archive.

1.2 Personal Pledge

All Leaders must sign the following pledge:

  1. I understand that ImmInst is represented only by nominated officers and directors.
  2. I understand that I am offering assistance to ImmInst only to the degree that I am comfortable with. I will not engage in activities that I do not have the desire, time or technical expertise to pursue.
  3. I will notify ImmInst when I plan to cease participation for a period of more than 30 days.
  4. I understand that I may be trusted with sensitive data, dissemination or mishandling of which could cause harm to ImmInst, its members, its affiliates or others.
  5. This data may include, but it not limited to:
    1. personal identifiable information, including data such as names, dates of birth, addresses, contact detail and
    2. technically sensitive information, including data such as passwords, software, scripts and codes and
    3. financially sensitive information, including data such as bank details or details of financial transactions, and
    4. other confidential information, including data that has not obviously been intended for publication to an undefined readership, personal communications, communications with restricted access

and any other information which can reasonably be considered sensitive, personal, confidential or otherwise privileged.

  1. I promise not to communicate, view, store, transfer, alter, delete, copy, convert, disseminate or otherwise engage with such sensitive information unless it is absolutely required. I will notify ImmInst immediately when I consider it necessary to engage with such information.
  2. I confirm that I become aware of any potential or actual conflict between my interests and those of Imminst, then I will immediately inform ImmInst.
  3. I will not either directly or indirectly, receive or accept for my own benefit or the benefit of any person or entity other than ImmInst any gratuity, emolument, or payment of any kind from any person in relation to my activities for ImmInst.
  4. I understand that ImmInst will not lay claim to any intellectual property which I develop hereunder. I will grant ImmInst a free, nonexclusive, non-transferable license to any intellectual property which I develop hereunder.
  5. I understand that either myself or ImmInst can terminate this agreement at any time in writing.
  6. I promise that at the time this agreement terminates, I will deliver to ImmInst any and all documents or any other copies of information or material connected with his agreement and I will destroy or delete any copies of such material at the request of ImmInst.


Section 2 -- Directors

Seven elected individuals. Their duties are outlined in the Constitution above.

Section 3 -- Advisors

3.1 Responsibilities

  • The role of ImmInst Advisor is to provide expert advice to the Institute (leadership) rather than members.
  • Advisors may facilitate and moderate discussion in their respective fora; however, they are not appointed by ImmInst leadership to give authoritative advice to the general membership or public unless provided with the express authority of Imminst leadership.

3.2 Advisor Election & Term

  • Accepting individuals to the roll of ImmInst Advisor shall be approved by an authoritative majority by the Board of Directors. The specific expertise of the advisor must be stated.
  • An Advisor's term ends when the Advisor resigns or by authoritative directorial vote.
  • When Advisors communicate with members they must present information in a non-authoritative manner i.e. “it may be of help” and clarify that they are communicating in a personal capacity and not on behalf of ImmInst if this could be in doubt.

Section 4 -- Navigators

4.1 Responsibilities

Navigators moderate individual electronic forum(s) on ImmInst's website. Moderation includes the starting and closing of discussions, editing contributions where appropriate and helping inexperienced contributors and members.

4.2 Navigator Election

Accepting individuals to the roll of ImmInst Navigator shall be approved by simple directorial majority. A Navigator's term ends when the Navigator resigns or by directorial vote.

4.3 Chief Navigator

A chief navigator will be appointed by authoritative directorial vote to oversee the activities of all the other navigators and guide moderation in general. The chief navigator will have director level data access. Their appointment must be reaffirmed annually. Their term ends by resignation, by simple directorial vote, or by failing to be reaffirmed.

Section 5 -- Spokesperson(s)

5.1 Responsibilities

Spokespeople are authorized to represent ImmInst on specific occasions or for a specific period of time.

5.2 Spokesperson Election

Accepting individuals to the roll of Spokesperson shall be approved by simple directorial majority. A Spokesperson's term ends as specified in the appointment or when the member resigns or by directorial vote.

Section 6 -- Engineer(s)

6.1 Responsibility

Engineers work on the software the Institute uses. They help with, among other things, identifying software errors and inefficiencies, improving the running of the software, establishing new software, advising on software options and keeping data secure from unwanted interference. Engineers will have far reaching data access at the discretion of the Chief Engineer. Engineer Election

6.2 Engineers Election

Accepting individuals to the roll of ImmInst Engineers shall be approved by simple directorial majority, subject to signing a pledge to keep ImmInst data secure and confidential, and only to use this data for developing ImmInst software. An Engineer's term ends when the Engineer resigns, or by directorial vote.

6.3 Chief Engineer

A Chief Engineer will be appointed by authoritative directorial vote to oversee the activities of all the other Engineers and guide software development in general. Their term ends by resignation, by simple directorial vote, or by failing to be reaffirmed. The chief engineer will have far reaching data aces at the discretion of the Board.
